This disclaimer governs participation in the TBAY token pre-sale and use of the tbay.tk ecosystem. Please read it carefully before purchasing or using any TBAY tokens. By purchasing TBAY tokens, you acknowledge and agree to the terms set out herein.

1. Nature of TBAY Tokens

TBAY (Thunder Bay Token) tokens are utility tokens intended solely for use within the tbay.tk ecosystem. They are designed to provide access to platform services, enable loyalty rewards through the tbay.tk POS system, and facilitate transactions within the tbay.tk network.

TBAY tokens are not:

  • A security, investment contract, or financial instrument under any applicable law;
  • A share, bond, debenture, or other instrument of indebtedness;
  • A currency, money, or legal tender;
  • A guarantee of profit, income, or return on investment;
  • A deposit, investment, or savings product regulated by banking authorities.

2. Regulatory Compliance — The Howey Test

tbay.tk LLC has structured the TBAY token with the express intent of satisfying the U.S. Securities and Exchange Commission's "Howey Test." Our compliance approach includes:

  • Immediate utility at launch: The tbay.tk POS platform and token utility are operational at the time of token distribution.
  • Consumptive use emphasis: All marketing focuses exclusively on token utility — not on financial appreciation.
  • No profit representations: tbay.tk LLC makes no guarantees regarding future price, value, or return.

3. Montana State Law

tbay.tk LLC is incorporated under the laws of the State of Montana, USA. Montana SB 178 (2023) classifies digital assets as personal property. However, Montana state law does not preempt U.S. federal securities law.

4. Risk Factors

Participation involves significant risks including market volatility, technical risk, regulatory risk, liquidity risk, operational risk, and bridge risk. You may lose some or all of the value of your tokens.
